YOU SHOULD READ THESE GENERAL TERMS AND CONDITIONS OF USE (THESE “T&CS”) CAREFULLY BEFORE USING ANY OF OUR SITES, GAMES AND/OR SOFTWARE (COLLECTIVELY, THE “Simplifygaming PLATFORMS”) OFFERED BY Simplify Gaming Pte Ltd. (COMPANY REGISTRATION NO. 202139518G) AND ITS AFFILIATES (IF ANY) (“Simplify Gaming Pte Ltd.”, “WE”, “US” OR “OUR”). BY DOWNLOADING, USING, OR ACCESSING THE Simplifygaming PLATFORMS, AND/OR ANY DATA OR CONTENT THAT IS ACCESSED, CONTAINED, OR UTILISED IN OR BY THE Simplifygaming PLATFORMS IN ANY MANNER, YOU AGREE THAT YOU HAVE READ AND CONSENT TO BE BOUND BY AND ARE A PARTY TO THESE T&CS TO THE EXCLUSION OF ALL OTHER TERMS. THESE T&CS MAY BE AMENDED FROM TIME TO TIME BY US. THESE T&CS ALSO INCLUDE OUR PRIVACY POLICY AND OTHER LEGAL NOTICES, WHICH ARE INCORPORATED HEREIN BY REFERENCE. IF THESE T&CS ARE CONSIDERED AN OFFER, ACCEPTANCE IS EXPRESSLY LIMITED TO THESE T&CS. IF YOU DO NOT UNCONDITIONALLY AGREE TO BE BOUND BY THESE T&CS, DO NOT USE THE Simplifygaming PLATFORM.

This website is operated by Simplify Gaming Pte Ltd., a company incorporated under the laws of Singapore.
These T&Cs govern your access to and use of the Simplifygaming Platform, including any and all Simplifygaming Services (as defined below).

DEFINITIONS AND INTERPRETATION
Unless the context otherwise requires, the definitions and interpretative provisions in Schedule 1 apply throughout these T&Cs.

Schedule 1

1. CONTRACTUAL RELATIONSHIP

   1. Acceptance of Terms: These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Simplifygaming (“we,” “us,” or “our”) and govern your use of our virtual land creation services through the Simplifygaming mobile application (the “Simplifygaming Services”). By using the Simplifygaming Services, you agree to comply with and be bound by these Terms.

   2. You agree that you will periodically check the Simplifygaming app and/ or website for updates to these T&Cs. You understand and agree that you will be considered to have been given notice of any modifications once we post them on the Simplifygaming app or website.

   3. You represent and warrant that

      • (i) you are an individual (not a corporation) and are 18 years old or older (or the relevant age of majority where you live); if you are below the relevant age of majority where you live, you represent that you have obtained the consent of your parent or legal guardian and these T&Cs have been reviewed and agreed by them;
      • (ii) all registration information you submit is accurate and truthful; and
      • (iii) you will maintain the accuracy of such information. You also certify that you are legally permitted to use and access the Simplifygaming Platforms and are fully responsible for the selection and use of and access to the Simplifygaming Platforms. These T&Cs are void where prohibited by law, and the right to access the Simplifygaming Platforms is revoked in such jurisdictions.

2. CONFLICT OR INCONSISTENCY

   Inconsistency: In the event of any inconsistency or conflict between these Terms and any other agreements you may have with Simplifygaming, these Terms will prevail unless expressly stated otherwise in writing.

3. PRIVACY

   Compliance with PDPA Singapore: We are committed to protecting your privacy. Our collection and use of your personal data are subject to compliance with the Personal Data Protection Act (PDPA) of Singapore. For more information on how we handle your personal data, please refer to our Privacy Policy. By using the Simplifygaming Services, you consent to our data practices and acknowledge the terms of our Privacy Policy.

4. THE Simplifygaming SERVICES

   Virtual Land Creation: Simplifygaming provides a platform that allows brands to create virtual lands for their promotion and marketing activities. You understand and acknowledge that these virtual lands are created for branding and promotional purposes and may not represent real-world locations.

5. Simplifygaming USERS’ OBLIGATIONS

   User Conduct: You agree to use the Simplifygaming Services in compliance with all applicable laws and regulations and to adhere to our Community Guidelines. You are solely responsible for the content you create or share on the platform and must not engage in any unlawful, harmful, or abusive activities.

6. DISPUTES WITH OTHER Simplifygaming USERS

   1. Dispute Resolution: Simplifygaming is not responsible for disputes or conflicts that may arise between users. We encourage users to resolve disputes amicably. In the event of a dispute, you release Simplifygaming from any claims, demands, or damages of any kind.

   2. In the event such construction fails to resolve the conflict or inconsistency, such conflict or inconsistency will be resolved in Simplifygaming’s favour.

7. DISCLAIMER, LIMITATION OF LIABILITY, AND INDEMNITY

   1. Disclaimer of Warranties: Simplifygaming provides the Simplifygaming Services on an “as is” and “as available” basis, without any warranties or representations, express or implied. We make no warranties regarding the accuracy, reliability, or suitability of the services for your needs.

   2. Limitation of Liability: To the extent permitted by law, Simplifygaming shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

   3. Indemnity: You agree to indemnify and hold Simplifygaming and its affiliates, officers, employees, and agents harmless from any claims, demands, losses, liabilities, or expenses (including legal fees) arising out of your use of the Simplifygaming Services, your violation of these Terms, or your violation of any applicable laws or regulations.

8. THIRD PARTY SERVICES AND WEBSITES

   Third-Party Links: The Simplifygaming Services may contain links to third-party websites or services that are not owned or controlled by Simplifygaming. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Your use of third-party services is subject to their terms and policies.

9. MISCELLANEOUS

   1. Governing Law: These Terms are governed by and construed in accordance with the laws of Singapore. Any disputes shall be resolved through arbitration in accordance with the rules of the Singapore International Arbitration Centre.

   2. Entire Agreement: These Terms constitute the entire agreement between you and Simplifygaming regarding the Simplifygaming Services and supersede all prior understandings or agreements, whether oral or written.

   3. By using the Simplifygaming Services, you acknowledge that you have read, understood, and agree to abide by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, please refrain from using our services. Simplifygaming reserves the right to amend or update these Terms at its sole discretion. Users will be notified of any changes to the Terms through the Simplifygaming mobile application or other communication channels. Your continued use of the Simplifygaming Services after such amendments constitutes your acceptance of the revised Terms.
